  1. Introduction

    Welcome to Eskro Technologies Inc. (“Eskro”, “we”, “our”, or “us”), a secure peer-to-peer marketplace designed to provide buyers and sellers with a trusted platform for local transactions. By accessing or using the Eskro website or mobile application (collectively, the “Platform”), you agree to comply with and be bound by these Terms and Conditions (“Terms”). These Terms outline your rights, responsibilities, and obligations as a user of our services. They also explain how Eskro facilitates transactions, resolves disputes, and ensures a safe marketplace environment. If you do not agree to these Terms, you may not access or use our Platform. Eskro reserves the right to modify these Terms at any time. Continued use of the Platform constitutes your acceptance of any changes.


  2. Definitions

    For the purposes of these Terms and Conditions, the following terms shall have the meanings outlined below:

    1. Affiliate” means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

    2. ”Account” means a unique account created for You to access our Service or parts of our Service.

    3. “Company” (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Eskro Technologies Inc.

    4. “Country” refers to Canada.

    5. “Content” refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.

    6. “Device” means any device that can access the Service such as a computer, a cellphone or a digital tablet.

    7. “Feedback” means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.

    8. “Products” refer to the products or items offered for sale on the Service.

    9. “Orders” mean a request by You to purchase Products from Us.

    10. “Promotions” refer to contests, sweepstakes or other promotions offered through the Service.

    11. “Service” refers to the Website.

    12. “Terms and Conditions” (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

    13. “Third-party Social Media Service” means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

    14. “Website” refers to eskroapp.ca, accessible from https://eskroapp.ca/

    15. “You” means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

    16. “Platform”: Refers to the Eskro website, mobile application, and any other digital services or tools provided by Eskro Technologies Inc.

    17. “User”: Any individual or entity that registers, accesses, or uses the Platform, including Buyers and Sellers.

    18. “Buyer”: A User who purchases goods or services through the Platform.

    19. “Seller”: A User who lists and offers goods or services for sale on the Platform.

    20. “Transaction”: The act of buying or selling goods or services facilitated through the Platform.

    21. “Escrow Service”: A payment mechanism provided by the Platform that temporarily holds funds until the Transaction is completed and confirmed by both the Buyer and Seller.

    22. “KYC Verification”: The process of verifying the identity of Users to ensure compliance with legal and security requirements.

    23. “Prohibited Items”: Items or goods that are restricted or banned from being listed or sold on the Platform, as outlined in these Terms.

    24. “Content”: Includes text, images, videos, and other materials that Users upload, post, or otherwise make available on the Platform.

    25. “Dispute Resolution”: The process facilitated by Eskro to resolve conflicts between Buyers and Sellers related to Transactions conducted on the Platform.


      Acknowledgment

      These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service. By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service. You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service. Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.


  3. Eligibility

    To use the Eskro Platform, all users must meet specific eligibility criteria. Users must be at least 18 years old to register and access Eskro’s services. Additionally, users are required to complete the KYC (Know Your Customer) verification process to ensure compliance with identity verification and fraud prevention standards. Failure to comply with this process may result in restricted access to the Platform. Users must comply with all applicable local, national, and international laws when using Eskro. The Platform is unavailable to residents in jurisdictions where access is restricted or prohibited. Each user is permitted to maintain only one account unless explicitly authorized by Eskro. Furthermore, any user who has been previously suspended or banned for violating these Terms or engaging in fraudulent activities will not be eligible to access the Platform.

  4. Acceptance of Terms

    By accessing or using the Eskro Platform, users acknowledge that they have read, understood, and agreed to these Terms and Conditions. These Terms constitute a legally binding agreement between the user and Eskro Technologies Inc. Any updates or modifications to these Terms will be communicated to users through appropriate channels, such as email or in-app notifications. Continued use of the Platform after updates signifies acceptance of the revised Terms. It is the user’s responsibility to review the Terms periodically to stay informed of any changes. In addition, certain services on the Platform may require users to agree to supplemental terms and conditions specific to those services. These supplemental terms are incorporated into the overall agreement by reference.


  5. User Account Registration and Responsibilities

    To access and utilize certain features of the Eskro Platform, users are required to create an account. During the registration process, users must provide accurate, complete, and up-to-date information. Any changes to account details must be promptly updated to ensure the accuracy of the information provided. Failure to maintain accurate details may result in restricted access to the Platform. Users are solely responsible for safeguarding their account credentials, including passwords. Eskro will not be held liable for any unauthorized access or misuse of an account arising from the failure to maintain confidentiality. In addition, all users are required to complete the KYC (Know Your Customer) verification process to fully access the Platform’s features, such as listing items and conducting transactions. Non-compliance with the verification process may lead to account suspension or restricted access. Accounts must not be shared, sold, or transferred to any other individual or entity. Misrepresentation or the use of false information during registration is strictly prohibited and will result in immediate termination of the account. Users are also accountable for all activities conducted through their accounts and must notify Eskro immediately of any unauthorized access or suspicious activities. Eskro retains the right to suspend or terminate accounts that violate these Terms, engage in fraudulent behavior, or compromise the security and integrity of the Platform.


  6. KYC (Know Your Customer) Verification Eskro

    Technologies requires all users to complete a Know Your Customer (KYC) verification process as a condition for accessing and utilizing the Platform’s full range of features. This process is designed to ensure the authenticity of users, prevent fraudulent activities, and comply with legal and regulatory requirements. As part of the KYC process, users must provide valid identification documents and any other necessary information requested by Eskro or its third-party verification partners. The submitted information will be securely processed and stored in compliance with applicable data protection laws. Users who fail to complete the KYC verification or provide inaccurate or false information may have their access to the Platform restricted, suspended, or permanently terminated. Eskro reserves the right to modify the KYC requirements at any time to adapt to changing legal or operational needs. Users will be notified of any significant changes to the verification process. By completing the KYC process, users agree to allow Eskro to verify their identity and maintain records of the verification in accordance with its Privacy Policy.


  7. Services Provided by Eskro

    Eskro Technologies provides a secure peer-to-peer (P2P) marketplace designed to facilitate safe and trusted transactions between buyers and sellers. The Platform incorporates advanced features to address fraud and build user confidence, ensuring a seamless marketplace experience. The core services offered by Eskro include:

    1. Marketplace Platform: Users can list, buy, and sell items across various categories, including electronics, furniture, and apparel. Users can also list services. The Platform provides tools to search, filter, and manage listings easily.

    2. KYC Verification: Eskro implements a mandatory identity verification process to ensure all users are authenticated, reducing the risk of fraudulent activity.

    3. Escrow Services: To protect both buyers and sellers, payments are securely held in escrow and released only after the buyer confirms receipt and satisfaction with the transaction.

    4. Verified Meetups: Eskro facilitates QR-code-enabled meetups, allowing users to verify their identities and confirm transactions during in-person exchanges.

    5. Premium Features: Users can access optional services, such as boosted listings for increased visibility, subscription plans for additional benefits, and extended warranties for high-value items. Eskro Technologies may introduce or modify services to enhance user experience or comply with legal requirements. Any significant updates to the services will be communicated to users through official channels, such as email or in-app notifications.


  8. Transaction Process

    Eskro Technologies ensures a secure and streamlined process for transactions conducted on its Platform. By using the Platform, users agree to adhere to the following transaction guidelines:

    1. Listing Items for Sale:

      1. Sellers must provide accurate and complete information about their items, including descriptions, pricing, and condition.

      2. Listings must comply with Eskro’s guidelines and must not include prohibited items as outlined in these Terms.

    2. Buying Items:

      1. Buyers are responsible for reviewing the item details and ensuring they meet their expectations before committing to a purchase.

      2. Payments must be processed through Eskro’s escrow system to ensure security for both parties.

    3. Escrow Payment System:

      1. Buyers initiate payments, which are held securely in escrow until the transaction is completed.

      2. Funds are released to the Seller only after the Buyer confirms receipt and satisfaction with the item.

    4. QR-Code Verified Meetups:

      1. Transactions requiring in-person exchanges must be completed using Eskro’s QR-code system, which verifies the identities of both parties and confirms the transaction. o Users are encouraged to meet in public, well-lit locations to ensure safety. 5. Transaction Confirmation:

      2. Once the Buyer confirms the transaction, the payment held in escrow will be released to the Seller.

      3. If the Buyer fails to confirm the transaction within the specified timeframe, funds may be automatically released to the Seller unless a dispute is initiated.

    5. Disputes:

      1. In cases of disagreements, Buyers and Sellers are required to attempt resolution through Eskro’s in-app dispute resolution system.

      2. If unresolved, Eskro’s support team will mediate the dispute and make a final determination.

    6. Prohibited Transactions:

      1. Transactions conducted outside the Platform (e.g., direct payments or unverified meetups) are strictly prohibited and may result in account suspension or termination.

      2. Eskro reserves the right to monitor transactions to ensure compliance with these Terms and to maintain the integrity of the Platform.

  9. Escrow Services Eskro

    Marketplace offers an escrow service to safeguard transactions and provide both buyers and sellers with a secure payment process. This service is central to Eskro’s mission of ensuring trust and safety within the marketplace. When a buyer initiates a payment through the Platform, the funds are held in a secure escrow account managed by Eskro. The seller is notified once the funds are secured and can proceed to deliver the item or arrange for a meetup. The escrow funds are released to the seller only after the buyer confirms receipt and satisfaction with the item. If the buyer fails to confirm within a specified timeframe, the funds may be automatically released to the seller unless a dispute is initiated. The escrow service charges a 12% transaction fee to the seller, while buyers pay a flat fee of CAD $3 per transaction. These fees support the operational and security measures required to maintain a trusted marketplace. In the event of a dispute, funds in escrow remain frozen until the issue is resolved. Buyers and sellers are encouraged to resolve disputes through Eskro’s in-app dispute resolution system. If a resolution cannot be reached, Eskro’s support team will review the evidence provided by both parties and make a final decision. Refunds are only issued if Eskro determines that the buyer’s claim is valid. Transactions conducted outside the Platform, bypassing the escrow service, are strictly prohibited. Such actions compromise the security of the transaction and may result in account suspension or termination. Eskro’s escrow service is designed to ensure that all transactions are conducted securely and transparently. By using this service, users agree to adhere to the processes and terms outlined here, maintaining the integrity and trustworthiness of the Eskro marketplace.


  10. Fees and Payment Terms Eskro

    Technologies operates on a transparent fee structure to ensure fairness and maintain the security and reliability of its Platform. By using Eskro’s services, you agree to the fees and payment terms outlined below. Sellers are charged a 12% transaction fee on the final sale price of each transaction conducted through the Platform. This fee covers operational costs, including escrow services, KYC verification, and the maintenance of a secure marketplace. Buyers, on the other hand, are required to pay a flat fee of CAD $3 per transaction, which contributes to ensuring the integrity and functionality of the Platform. For optional services, such as boosted ads, featured listings, or subscription plans, additional fees may apply. These fees will be clearly outlined on the Platform at the time of purchase. Sellers and buyers opting for premium services agree to pay the specified charges before accessing these features. All payments processed through Eskro’s escrow service must be made using the approved payment methods available on the Platform. Users are responsible for ensuring that their payment details are accurate and up to date. Eskro reserves the right to withhold or delay payments in cases of suspected fraud, disputes, or other violations of these Terms. In the event of a refund, any applicable fees charged during the transaction will be retained by Eskro, unless otherwise determined during a dispute resolution process. Eskro reserves the right to modify its fee structure or payment terms at any time, with prior notice provided to users through email or in-app notifications. By continuing to use the Platform, you acknowledge and accept these fees and payment terms, agreeing to comply with the processes and obligations they entail.


  11. Listing Rules and Prohibited Items

    To maintain a secure and trustworthy marketplace, all users listing items or services for sale on the Eskro Platform must adhere to the following guidelines. Failure to comply with these rules may result in the removal of listings, account suspension, or permanent termination. Users must provide accurate, detailed, and truthful descriptions of their listed items or services. Each listing should include clear and recent photographs that accurately represent the item being sold. Misleading, deceptive, or incomplete listings are strictly prohibited and may be removed at Eskro’s discretion. Sellers are solely responsible for ensuring the legality and authenticity of the items they list on the Platform. Eskro prohibits the listing or sale of illegal, counterfeit, or restricted items. Examples of prohibited items include, but are not limited to, stolen goods, weapons, explosives, narcotics, prescription drugs, adult content, counterfeit currency, endangered wildlife, and items that violate intellectual property rights. A detailed list of prohibited items can be found in Eskro’s Prohibited Items Policy, available on the Platform. Listings that promote hate speech, violence, or discrimination based on race, ethnicity, gender, religion, or other protected characteristics are strictly forbidden. Eskro maintains a zero-tolerance policy toward such content and reserves the right to take immediate action against violators. All listings must comply with applicable local, national, and international laws. Sellers are responsible for understanding and adhering to the legal requirements governing the sale of their items in their jurisdiction. Eskro does not assume liability for users’ non-compliance with legal regulations. Eskro reserves the right to review, modify, or remove listings at its discretion to ensure compliance with these rules and to maintain the integrity of the marketplace. By listing items or services on the Platform, users agree to adhere to these guidelines and accept full responsibility for their listings.


  12. User Obligations and Conduct

    To ensure a safe, trustworthy, and effective marketplace, all users of the Eskro Platform must adhere to the following obligations and standards of conduct. By accessing or using the Platform, users agree to act in good faith and comply with these requirements. Users are required to provide accurate and truthful information during registration, KYC verification, and when creating listings. Misrepresentation or the submission of false information may result in immediate account suspension or termination. Additionally, users must ensure their account credentials are secure and not shared with unauthorized parties. Users are solely responsible for all activities conducted under their account. All users must conduct transactions solely through Eskro’s Platform, utilizing features such as the escrow service and QR-code meetups to ensure security. Circumventing these processes or engaging in off-platform transactions is strictly prohibited. Any attempts to bypass Eskro’s safeguards undermine the integrity of the marketplace and will result in account termination. Users are prohibited from engaging in fraudulent, harmful, or unethical behavior, including but not limited to: creating fake listings, providing counterfeit goods, impersonating other users, or attempting to scam buyers or sellers. Harassment, threats, or abusive language directed at other users or Eskro’s support team will not be tolerated and may lead to permanent removal from the Platform. It is the responsibility of users to comply with all applicable laws and regulations while using the Platform. This includes adhering to restrictions on the sale or purchase of prohibited items as outlined in these Terms and ensuring transactions align with local, national, and international laws. Eskro reserves the right to monitor user activity to ensure compliance with these Terms. Violations may result in warnings, temporary restrictions, or permanent account termination, depending on the severity of the infraction. By using the Platform, users agree to uphold these obligations and conduct themselves in a manner that promotes trust and safety within the Eskro community.


  13. Refunds and Cancellation Policy

    Eskro Technologies is committed to providing a transparent and fair refund and cancellation policy to ensure secure transactions for all users. Buyers and sellers are expected to adhere to the following guidelines for smooth and reliable operations.

    Refund Eligibility

    All transactions on Eskro are conducted through in-person meetups, where buyers are required to inspect the item thoroughly. Once the buyer accepts the item, the transaction is considered final, and no refunds will be provided. For high-value items covered by a three-day warranty, buyers may request a return only if a hidden defect, not apparent during the initial inspection, is discovered. Warranty claims must be initiated within three days of the transaction. This warranty excludes damages caused after the transaction or issues that could have been reasonably identified at the time of inspection.

    If a return under the warranty policy is approved, buyers and sellers are required to meet again in person to complete the return process. Escrowed funds will be refunded to the buyer once the seller confirms receipt of the returned item. However, a non-refundable fee of CAD $3 will be charged for processing the return.

    Cancellation of Transactions

    Buyers may cancel a transaction before the in-person meetup is completed. Such cancellations are subject to a fee of 5% of the transaction amount, capped at CAD $15, plus an additional flat fee of CAD $3. This cancellation fee will be deducted from the buyer’s escrowed payment, and the remaining balance will be refunded. Once the in-person meetup is completed, cancellations are not allowed unless the item qualifies for a warranty return.

    Exclusions

    Refunds and cancellations are not available for items accepted during the meetup, issues caused after the transaction, or dissatisfaction with agreed terms. Transactions conducted outside the Eskro Platform or without using escrow services are also excluded from this policy. By using Eskro, users agree to these refund and cancellation policies and accept the outlined charges for cancellations and successful returns. Eskro reserves the right to update this policy, with changes communicated through email or in-app notifications.


  14. Dispute Resolution Eskro

    Technologies is dedicated to providing a fair and transparent process for resolving disputes between buyers and sellers. By using the Platform, users agree to adhere to the dispute resolution process outlined below. If a dispute arises, buyers and sellers are encouraged to attempt resolution through direct communication within the Platform’s messaging system. If the issue cannot be resolved amicably, either party may initiate a formal dispute through Eskro’s in-app dispute resolution system. All disputes must be filed within the applicable timeframes: for standard transactions, disputes must be raised before funds are released from escrow; for high-value items under warranty, disputes must be filed within three days of the transaction. Once a dispute is initiated, Eskro’s support team will review all evidence submitted by both parties, including photographs, messages, and any additional documentation provided. Both parties are required to cooperate fully during the investigation. Eskro will evaluate the evidence and make a determination based on the facts of the case. During the resolution process, funds held in escrow will remain frozen until a final decision is reached. If the dispute is resolved in favor of the buyer, the funds will be refunded to the buyer, minus applicable non-refundable fees. If resolved in favor of the seller, the funds will be released to the seller. Eskro’s decisions regarding disputes are final and binding. By using the Platform, users acknowledge and agree that Eskro acts as a neutral mediator and does not assume liability for any losses or damages resulting from disputes. Eskro reserves the right to deny dispute requests that lack sufficient evidence or fall outside the scope of this policy. This dispute resolution process ensures a fair and efficient way to address conflicts, maintaining trust and integrity within the Eskro marketplace.


  15. Intellectual Property Rights

    Eskro Technologies owns and retains all rights, title, and interest in and to the Platform, including but not limited to its content, features, design, branding, trademarks, and software. By using the Platform, users acknowledge and agree to the following terms regarding intellectual property: All materials on the Platform, including text, images, graphics, logos, videos, and other content, are the exclusive property of Eskro or its licensors. These materials are protected by copyright, trademark, and other applicable intellectual property laws. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. This license does not grant users any rights to modify, reproduce, distribute, create derivative works from, publicly display, or exploit the content in any way, unless expressly authorized in writing by Eskro. Users retain ownership of the content they upload to the Platform, such as item listings, descriptions, and photographs. However, by uploading content, users grant Eskro a non-exclusive, royalty-free, worldwide, and sublicensable license to use, modify, reproduce, and distribute the content for the purposes of operating, promoting, and improving the Platform. Users warrant that any content they upload is their own original work or that they have the necessary rights and permissions to upload and grant Eskro the aforementioned license. Unauthorized use of Eskro’s intellectual property, including but not limited to its trademarks, logos, and proprietary software, is strictly prohibited and may result in account suspension, termination, or legal action. Users are also prohibited from removing, obscuring, or altering any copyright, trademark, or other proprietary notices displayed on the Platform. Eskro takes intellectual property rights seriously and reserves the right to take appropriate action against any infringement. If users believe their intellectual property rights have been violated, they should contact Eskro immediately with detailed information to facilitate an investigation. By using the Platform, users agree to respect Eskro’s intellectual property and the rights of other users, fostering a secure and collaborative environment.


  16. Privacy and Data Security

    Eskro Technologies is committed to protecting the privacy and personal information of its users. This section outlines how user data is collected, used, stored, and safeguarded in accordance with applicable data protection laws and regulations.

    Collection of Data

    Eskro collects user information necessary for the operation and security of the Platform. This includes, but is not limited to, personal details provided during registration, KYC verification, transaction data, and communications within the Platform. By using Eskro, users consent to the collection and processing of their information for these purposes.

    Use of Data

    User data is used to:

    1. Facilitate secure transactions and communication between buyers and sellers.

    2. Verify identities as part of the KYC process.

    3. Enhance the Platform’s functionality, security, and user experience.

    4. Resolve disputes and provide customer support.

    5. Comply with legal and regulatory requirements.

    Disclosure of Data

    Eskro may share user information in the following circumstances:

    1. With Authorities:

      User data may be disclosed to law enforcement or regulatory authorities when a scam, fraudulent activity, or legal violation is identified. This is done to support investigations and ensure compliance with applicable laws.

    2. Between Users (With Authorization):

      In cases of verified scams or violations, Eskro may provide limited user information, with prior authorization from Eskro and within legal limits, to victims filing police reports or legal claims. This ensures victims have the necessary details to seek justice.

    Users acknowledge that these disclosures are made strictly in compliance with the law and to maintain the integrity of the marketplace. Eskro ensures that all data sharing is limited to the information necessary to address the issue at hand.


    Storage and Security of Data

    Eskro employs advanced security measures, including encryption, firewalls, and access controls, to protect user data. Payment information is processed through secure third-party providers and is not stored on Eskro’s servers. While every effort is made to ensure data security, users acknowledge that no system is completely immune to risks. Eskro cannot guarantee absolute protection against unauthorized access or data breaches.


    User Rights

    Users have the right to access, update, or request deletion of their personal information. Requests can be submitted through Eskro’s support channels, though certain data may need to be retained to comply with legal obligations or resolve disputes.


    Compliance with Data Protection Laws

    Eskro adheres to relevant privacy laws, including GDPR, CCPA, and PIPEDA. Any data breaches will be reported to users and authorities as required by law.


    Updates to Privacy Policy

    Eskro reserves the right to update this Privacy Policy. Users will be notified of significant changes, and continued use of the Platform signifies acceptance of the updated terms. By using Eskro, users agree to the collection, use, and potential disclosure of their data as outlined above, ensuring the security and fairness of the Platform for all participants.


  17. Prohibited Activities

    Eskro Technologies is committed to maintaining a secure, trustworthy, and respectful marketplace environment. Users are required to comply with these Terms and Conditions and refrain from engaging in any activities that compromise the integrity of the Platform. The following activities are strictly prohibited:

    1. Fraudulent or Misleading Conduct Users must not engage in fraudulent behavior, including but not limited to creating false accounts, listing counterfeit or misrepresented items, or attempting to deceive other users about an item’s condition, authenticity, or value.

    2. Circumventing Platform Features All transactions must be conducted through Eskro’s escrow service and other secure features. Attempting to conduct transactions outside the Platform, bypassing fees, or avoiding KYC verification is strictly forbidden.

    3. Sale of Prohibited Items Users are not allowed to list or sell items that are illegal, counterfeit, or restricted by local, national, or international laws. Examples of prohibited items include stolen goods, narcotics, weapons, endangered species, and items violating intellectual property rights. A comprehensive list of prohibited items is available on the Platform.

    4. Harassment or Abuse Users must not harass, threaten, or abuse other users or Eskro’s staff. This includes sending offensive messages, engaging in discriminatory behavior, or using the Platform to promote hate speech or violence.

    6. Interference with the Platform Users must not attempt to disrupt or interfere with the operation of the Platform, including hacking, introducing malware, or exploiting vulnerabilities in Eskro’s systems.

    7. Use of Multiple or Fake Accounts Users are permitted to maintain only one account unless explicitly authorized by Eskro. Creating multiple accounts or impersonating another individual or entity is not allowed.

    8. Unlawful Activities The Platform must not be used for any unlawful activities, including money laundering, financing illegal activities, or promoting fraudulent schemes. Eskro reserves the right to investigate and take appropriate action against any violations of these rules. Actions may include removing listings, suspending or terminating accounts, and reporting unlawful activities to law enforcement authorities. By using Eskro, users agree to comply with these standards, contributing to a secure and reliable marketplace for all participants.


  18. Termination of Account and Access

    Eskro Technologies reserves the right to suspend, restrict, or terminate a user’s account and access to the Platform if they violate these Terms and Conditions or engage in activities that compromise the security, trust, or integrity of the marketplace.

    Grounds for Termination Eskro may terminate or restrict access to a user’s account for reasons including, but not limited to:

    1. Violation of the Platform’s rules, including the prohibited activities outlined in Section 17.

    2. Non-compliance with the KYC verification process or submission of fraudulent information.

    3. Attempting to circumvent escrow services, fees, or other Platform features.

    4. Engaging in scams, fraudulent activities, or the sale of prohibited items.

    5. Harassment, abuse, or misconduct toward other users or Eskro staff.

    6. Unauthorized use of multiple accounts or impersonating another individual.

    7. Attempts to disrupt or interfere with the Platform’s operations.


    Notification of Termination

    In most cases, users will receive a warning or notice regarding their violation before account termination. However, Eskro reserves the right to suspend or terminate an account immediately without prior notice if the violation poses a significant threat to the security or reputation of the Platform.

    Effect of Termination

    Upon termination:

    1. The user’s account will be deactivated, and access to the Platform will be revoked.

    2. Any active listings will be removed from the marketplace.

    3. Funds held in escrow may be withheld or refunded, depending on the circumstances and the resolution of any outstanding disputes.

    4. The user may lose access to any unused premium services or subscriptions without a refund.

    Appeal Process

    Users whose accounts have been terminated may contact Eskro’s support team to request a review of the decision. Appeals must include evidence or explanations addressing the violation. Eskro’s decision following the review is final.

    Retention of Data

    Eskro may retain certain user information, including transaction history and communications, as required to comply with legal obligations or to assist with investigations into violations or disputes.

    By using Eskro, users agree to these terms and acknowledge that account access is conditional on compliance with these rules and the overall integrity of the Platform.

  19. Platform Liability and Disclaimer

    Eskro Technologies provides a secure peer-to-peer marketplace to facilitate transactions between buyers and sellers. While the Platform is designed to ensure a safe and reliable experience, users acknowledge and agree to the following limitations of Eskro’s liability:

    Limited Role in Transactions

    Eskro acts solely as a facilitator of transactions by providing services such as escrow payments, KYC verification, and dispute resolution. The company does not own, inspect, or guarantee the quality, legality, authenticity, or condition of any items listed on the Platform. All transactions are conducted directly between buyers and sellers, and Eskro does not assume liability for disputes, damages, or losses arising from such transactions.

    No Guarantee of Item Descriptions

    Eskro does not verify the accuracy of item descriptions, images, or other content provided by sellers. Buyers are responsible for thoroughly inspecting items during in-person meetups before completing the transaction. Eskro will not be held liable for dissatisfaction with the item if it was accepted during the meetup.

    No Responsibility for User Conduct

    Eskro is not responsible for the actions, behavior, or conduct of any users on the Platform. This includes, but is not limited to, fraudulent activities, misrepresentation, or failure to comply with these Terms and Conditions. Users are encouraged to report suspicious activities to Eskro’s support team for investigation.

    No Guarantee of Continuous Access

    While Eskro strives to provide uninterrupted access to the Platform, it does not guarantee that the Platform will always be available, secure, or free from errors. Eskro will not be liable for disruptions caused by technical issues, maintenance, or circumstances beyond its control.

    Disclaimer of Warranties

    Eskro provides the Platform and its services on an "as-is" and "as-available" basis, without any warranties or guarantees of any kind, either express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

    Limitation of Liability

    To the fullest extent permitted by law, Eskro’s liability for any claims, damages, or losses arising from the use of the Platform will be limited to the total amount of fees paid by the user to Eskro in the six (6) months preceding the claim. Eskro will not be liable for indirect, incidental, consequential, or punitive damages. By using the Platform, users agree to these disclaimers and limitations of liability. These provisions are essential to Eskro’s ability to provide its services and maintain the trust and security of the marketplace.


  20. Indemnification

    By using the Eskro Marketplace Platform, users agree to indemnify, defend, and hold harmless Eskro Technologies Inc., its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising out of or related to:

      2. Fraudulent, negligent, or unlawful activities conducted on the Platform.

      1. Any breach of applicable local, national, or international laws or regulations by the user.

    4. Disputes Between Users:

      1. Any disputes, claims, or damages arising between users, including buyers and sellers, related to transactions facilitated through the Platform.

    5. Misuse of the Platform:

      1. Attempts to bypass escrow services, fees, or other security features implemented by Eskro.

      2. Any unauthorized use or interference with the Platform’s functionality, systems, or services.

    Eskro reserves the right, at its sole discretion and expense, to assume exclusive defense and control of any matter subject to indemnification by the user. In such cases, users agree to cooperate fully with Eskro’s defense efforts.

    This indemnification clause ensures that Eskro is protected from liabilities arising from user actions or misuse of the Platform, allowing the company to continue offering secure and reliable services to its community.

    The Eskro Platform may include links to third-party websites, applications, or services that are not owned, operated, or controlled by Eskro Technologies.     No Warranty Eskro disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Eskro does not guarantee that the Platform will always be available, uninterrupted, error-free, or free from unauthorized access.

    Limited Liability for Transactions Eskro acts solely as a facilitator of transactions and is not a party to the agreements or exchanges between buyers and sellers. Eskro is not liable for:

    1. The accuracy, legality, or quality of items listed or exchanged on the Platform.

    2. Any losses, damages, or disputes arising from transactions conducted through the Platform.

    3. User decisions to accept or reject items during in-person meetups.

    Exclusion of Certain Damages

    To the fullest extent permitted by law, Eskro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses arising from or related to the use of the Platform.

    Monetary Liability Cap

    Eskro’s total liability for any claims arising out of or related to the use of the Platform shall be limited to the total amount of fees paid by the user to Eskro within the six (6) months preceding the claim.   25. Force Majeure

    Eskro Technologies shall not be held liable or responsible for any failure or delay in the performance of its obligations under these Terms and Conditions due to events beyond its reasonable control. Such events, collectively referred to as “Force Majeure,” include but are not limited to:

    1. Natural disasters such as earthquakes, floods, hurricanes, or fires.

    2. Acts of God or unforeseen environmental catastrophes.

    3. War, armed conflict, acts of terrorism, or civil unrest.

    4. Government actions, regulations, or orders, including those affecting commerce, technology, or internet access.

    5. Strikes, labor disputes, or industrial actions.

    In the event of a Force Majeure, Eskro will make reasonable efforts to resume services as soon as practicable. However, users acknowledge that delays or disruptions caused by Force Majeure are outside Eskro’s control and do not constitute a breach of these Terms and Conditions.

    If a Force Majeure event substantially prevents or delays the performance of Eskro’s obligations for a prolonged period, Eskro reserves the right to suspend or terminate affected services without incurring liability. Users will be notified of such actions via email or in-app communication.

    By using the Platform, users agree to release Eskro from liability for disruptions or failures caused by Force Majeure, recognizing the inherent unpredictability of such events.
